Terms and Conditions for Influencer Marketing and Management Services

1. Influencer Marketing and Management Services

a. The Company provides influencer marketing and management services to enhance the branding of influencers and their content, as well as facilitate advertising for companies.

b. The specific services for influencers and companies will be defined in a separate agreement or detailed explanatory document.

2. Responsibilities of Influencers and Companies

a. Influencers and companies must provide accurate and up-to-date information about their social media accounts, follower counts, and target audience demographics.

b. Influencers and companies must comply with any guidelines or requirements provided by the Company regarding the targeted content, applicable laws, and regulations.

3. Financial Compensation

a. The financial compensation for services rendered to influencers and companies will be predetermined in a separate agreement or detailed explanatory document.

b. Influencers and companies are responsible for complying with any tax obligations associated with the financial compensation received.

4. Ownership and Usage Rights

a. Influencers and companies retain ownership rights of their original content, but the Company has the right to use and publish the content for promotional and advertising purposes related to the campaign or project.

5. Confidentiality

a. The Company, influencers, and companies agree to maintain the confidentiality of any confidential information exchanged during the contract period and not disclose it to any third party unless legally required.

6. Termination of the Agreement

a. Either party may terminate this Agreement with written notice in the event of a material breach by the other party and failure to remedy it within a reasonable period.

b. Upon termination, any outstanding amounts owed to influencers and companies will be settled within a reasonable timeframe.

7. Indemnification

Influencers and companies agree to indemnify the Company against any claims, damages, or liabilities arising from the content they create or their actions or omissions during the contract period.

8. Limitation of Liability

The Company strives to provide services to the best of its ability, but it is not responsible for any indirect, incidental, special, or consequential damages arising from or in connection with influencer marketing and management services.

9. Applicable Law and Jurisdiction

This Agreement shall be governed by the laws of Germany/Hessen, and the competent courts in Darmstadt/Germany shall have exclusive jurisdiction over any disputes arising from this Agreement.
